2. currently, I'm using dedicate at ovh dot com and I use proxmox to create a VM and I running VM as hosting provider which have kernel as: Linux server.mydomain.com 2.6.32-10-pve #1 SMP Tue Mar 20 09:25:26 CET 2012 x86_64 x86_64 x86_64 GNU/Linux.
as the question number 2 I would like to ask you that.
            1. can I use CloudLinux in OpenVZ OS (centos 5.8)
            2. base on my kernel could I run CloudLinux
            3. after install linux does my proxmox still know and manage my vm?

There is explanation on limits here: http://docs.cloudlinux.com/index.html?limits.html
OpenVZ is not support (Xen, etc.. is)
If proxmox doesn\'t support Xen/KVM -- you will not be able to use CloudLinux inside your VMs.
